VEREINBARKEIT DER RISIKOABSCHIRMUNG MIT DER IMPAIRED-ASSETS-MITTEILUNG COMPATIBILITY OF THE RISK SHIELD WITH THE IMPAIRED ASSETS COMMUNICATION
Vereinbarkeit des Kapitalentlastungsinstruments mit den in der Impaired-Asset-Mitteilung niedergelegten Grundsätzen Compatibility of the capital relief instrument with the principles set forward in the Impaired Asset Communication
Erstens wiederholt Deutschland die in seiner Stellungnahme vom 1. Februar 2010 enthaltenen Ausführungen und macht geltend, dass die Impaired-Assets-Mitteilung nicht auf die erste Übertragung von Vermögenswerten auf die EAA anwendbar ist. First, Germany reiterates its position of 2 February 2010, claiming that the Impaired Assets Communication is not applicable to the first asset transfer to the EAA.
Folglich ist das Beihilfeelement in der Entlastungsmaßnahme entsprechend höher und kann nur genehmigt werden, wenn die Maßnahme Bestimmungen enthält, die eine spätere Rückforderung dieser zusätzlichen Beihilfen ermöglichen (z. B. über einen „Claw-back“-Mechanismus), oder eine umfassende Umstrukturierung vorsieht (vgl. Randnummer 41 und Abschnitt 5.2 der Impaired-Assets-Mitteilung). Consequently the aid element in the asset relief measure is correspondingly larger and can only be approved if the measure is accompanied by the introduction of conditions allowing the recovery of this additional aid at a later stage (e.g. by means of a claw-back mechanism) or far-reaching restructuring (cf. paragraph 41 and section 5.2 of the Impaired Assets Communication).
Folglich erfüllt die Risikoabschirmung die Anforderungen der Impaired-Assets-Mitteilung bezüglich des Managements von Vermögenswerten. Consequently, the risk shield is in line with the requirements of the Impaired Assets Communication with regard to the management of assets.
VEREINBARKEIT DER MASSNAHMEN MIT DER IMPAIRED-ASSETS-MITTEILUNG COMPLIANCE OF THE MEASURES WITH THE IMPAIRED ASSETS COMMUNICATION
Auch wenn es falsch gewesen sein mag, damals nicht die Impaired-Assets-Mitteilung anzuwenden, gibt es für Deutschland keinen berechtigten Grund für die Annahme, dass die Kommission auch weiterhin so vorgehen würde. Although it might have been erroneous not to have applied the Impaired Assets Communication at that point in time, there is no legitimate expectation by Germany that such an approach would continue.
Die Anwendung der Impaired-Assets-Mitteilung soll die Kohärenz der von den Mitgliedstaaten gewährten Entlastungsmaßnahmen und die Einhaltung von Vorschriften der Beihilfenkontrolle sicherstellen. Applying the Impaired Assets Communication should ensure consistency between asset relief measures introduced by the Member States and compliance with state aid monitoring requirements.
Anwendung der Impaired-Assets-Mitteilung Application of the Impaired Assets Communication
Auch wenn die Impaired-Assets-Mitteilung auf die Zweitverlustgarantie anzuwenden wäre, sind der Kommission nach Auffassung Deutschlands bei der Anwendung Fehler bei der Bestimmung des Beihilfeelements und der Berechnung der Vergütungshöhe sowie in Bezug auf die Lastenverteilung und das Management der Vermögenswerte in der Restructuring Unit unterlaufen. Even assuming it was correct to apply the Impaired Assets Communication, Germany took the view that the Commission had applied it erroneously as regards the quantification of the aid element and the remuneration, burden sharing and the management of assets by the restructuring unit.
Deshalb muss, um die Vereinbarkeit der Maßnahmen mit den Vorschriften für staatliche Beihilfen im Sinne der Impaired-Assets-Mitteilung zu gewährleisten, eine zusätzliche Abschreibung erfolgen, die dem Rückgang des tatsächlichen wirtschaftlichen Werts Rechnung trägt, bzw. im Falle einer Garantie für Vermögenswerte muss eine Berichtigung des „Übertragungswerts“ (d. h. ein Anstieg des Attachment-Points) auf den tatsächlichen wirtschaftlichen Wert vorgenommen werden. For this reason, in order to ensure the compatibility of the measures with the rules on State aid under the Impaired Assets Communication, an additional write-down must be made which takes account of the fall in the real economic value or, the case of a guarantee for assets, a correction of the ‘transfer value’ (i.e. a rise in the attachment point) to the real economic value must be undertaken.
Aus den in den Randnummern 125 und 126 erläuterten Gründen muss die erste Übertragung von Vermögenswerten auf die EAA nach der Impaired-Assets-Mitteilung gewürdigt werden. For the reasons explained in recitals 125 and 126, the compatibility of the first asset transfer to the EAA has to be assessed on the basis of the Impaired Assets Communication.

Deutschland stimmte nicht mit der Kommission überein, dass die Anwendung der Impaired-Assets-Mitteilung zwingend erforderlich ist und die Kommission unabhängig vom Zeitpunkt der Ausgestaltung oder der Anmeldung der Maßnahme die zum Zeitpunkt der Annahme der Entscheidung geltenden Rechtsvorschriften und Mitteilungen anwenden musste [31]. Germany disagreed with the Commission’s assessment that the Impaired Assets Communication had to be applied and that the Commission was obliged to apply laws and guidelines in force at the time of the adoption of the Decision, irrespective of the time at which the aid measures were designed or notified [31].
Deutschland machte ferner geltend, dass die Impaired-Assets-Mitteilung nicht alle Arten von Unterstützungsmaßnahmen abdeckt, die auf wertgeminderte Vermögenswerte abzielen. Germany further argued that the Impaired Assets Communication could not be read as covering all kinds of support measures targeting impaired assets.

Germany stated that applying the Impaired Assets Communication led to an erroneous assessment framework, which was unfavourable to HSH as regards the aid element, the value of the portfolio, the remuneration of the measure and the scope of restructuring.
Deutschland erachtete diese Schwierigkeiten als Beweis dafür, dass die Zweitverlustgarantie nicht auf der Grundlage der Impaired-Assets-Mitteilung zu prüfen sei, und erklärte, die Kommission gelange durch eine Hochrechnung auf einen Beihilfebetrag in Höhe des Garantienominals. Germany regarded those difficulties as evidence that the second-loss guarantee should not be assessed under the Impaired Assets Communication. It pointed out that the Commission had by extrapolation arrived at an aid amount equal to the nominal value of the guarantee.
Deutschland machte, wie in der Eröffnungsentscheidung ausgeführt, geltend, dass die Anwendung der in der Impaired-Assets-Mitteilung dargelegten Berechnungsmethoden auf die Zweitverlustgarantie unangemessen sei und dass für die Bestimmung der Vergütungshöhe die Garantiemitteilung zugrunde gelegt werden sollte. Germany argued that it was inappropriate to apply to the second-loss guarantee the calculation methods laid down in the Impaired Assets Communication (as described in the Decision initiating the procedure) and concluded that the Guarantees Notice should be applied in order to determine the remuneration.
Deutschland vertrat den Standpunkt, dass die von der Kommission vorgenommene rechtliche Beurteilung der Risikoabschirmung fehlerhaft ist, weil sie sich auf die Anwendung der Impaired-Assets-Mitteilung stütze, die im vorliegenden Fall nicht anwendbar sei. Germany took the view that the Commission’s legal assessment of the risk shield was erroneous, because it was based on the application of the Impaired Assets Communication, which, according to Germany, was not applicable in the present case.

Nichtanwendbarkeit der Impaired-Assets-Mitteilung Impaired Assets Communication not applicable
Hat die Überwachungsbehörde ausnahmsweise eine Beihilfe genehmigt, bei der von den in den Bankenleitlinien, den Rekapitalisierungsleitlinien bzw. den Impaired-Asset-Leitlinien festgelegten Grundsätzen abgewichen wurde, so muss den daraus resultierenden zusätzlichen Wettbewerbsverzerrungen mit zusätzlichen strukturellen Maßnahmen und Verhaltensvorkehrungen begegnet werden. Siehe Randnr. 58 der Impaired-Asset-Leitlinien. If the Authority has, pursuant to Banking Guidelines, the Recapitalisation Guidelines or the Impaired Assets Guidelines, exceptionally accepted aid that departed from the principles required by those Guidelines, the resulting additional distortion of competition will require additional structural or behavioural safeguards; see point 58 of the Impaired Assets Guidelines.

However, in the opinion of the Commission, the requirements of the Impaired Assets Communication regarding the eligibility of assets, the choice of management arrangement for impaired assets, transparency and disclosure and the guarantee fee were fulfilled.
Doch selbst wenn die HSH die Erstverlusttranche nicht um [2,5-10] Mrd. EUR erhöhen kann, um die erwarteten Verluste zu decken, so könnte nach Randnummer 41 der Impaired-Assets-Mitteilung die Differenz auch zu einem späteren Zeitpunkt zurückgefordert werden, z. B. über einen Claw-back-Mechanismus in Verbindung mit weitreichenden Umstrukturierungsmaßnahmen. However, even though HSH is unable to increase the first-loss tranche by EUR [2,5-10] billion in order to cover the expected losses, the difference could, pursuant to paragraph 41 of the Impaired Assets Communication, also be recovered at a later stage, for example through some combination of a claw-back mechanism and far-reaching restructuring measures.

Zudem muss nach Randnummer 41 der Impaired-Assets-Mitteilung bei Entlastungsmaßnahmen in Form eines Kaufs bzw. der Versicherung von Vermögenswerten der Übernahmewert auf deren tatsächlichen wirtschaftlichen Wert beruhen. In addition, paragraph 41 of the Impaired Assets Communication requires the transfer value for asset purchase or asset guarantee to be based on the REV of the assets.
Nach Abschnitt 5.2 der Impaired-Assets-Mitteilung ist die Kommission außerdem der Auffassung, dass Citadele Banka für die durch die Entlastungsmaßnahme erreichte Kapitalentlastung eine angemessene Vergütung zahlen sollte. In addition, pursuant to section 5.2 of the Impaired Assets Communication, the Commission considers that Citadele banka should pay an appropriate remuneration for the capital relief achieved by the impaired assets measures.
Nach Randnummer 20 der Impaired-Assets-Mitteilung erfordert jeder Beihilfeantrag ex ante seitens der förderfähigen Banken uneingeschränkte Transparenz und volle Offenlegung der Wertminderungen bei den Aktiva, für die die Entlastung beantragt wird. Grundlage hierfür ist eine angemessene, von anerkannten unabhängigen Sachverständigen bestätigte und von der zuständigen Aufsichtsbehörde validierte Bewertung. In accordance with paragraph 20 of the Impaired Assets Communication, applications for aid should be subject to full transparency and disclosure of impairments by eligible banks on the assets which will be covered by the relief measures, based on adequate valuation, certified by recognised independent experts and validated by the relevant supervisory authority.

In any event, the reasoning in the May 2009 Decision was to accept the nominal amount of the guarantee as the aid amount, which is not uncommon for impaired asset guarantees [67]; however, if that approach were to be applied in the present case, it would result in an amount that exceeded by far the aid amount established by the Impaired Assets Communication.

In its opening decision the Commission established that the compensation paid by the beneficiary bank takes adequate account of the risk of future losses which exceeds the risk expressed in the real economic value in accordance with the Impaired Assets Communication.
Im Kontext der derzeitigen Finanzkrise hat die Kommission bereits Maßnahmen, die vor Veröffentlichung der Impaired-Assets-Mitteilung angemeldet wurden, nach der Impaired-Assets-Mitteilung geprüft [66]. In fact, in the context of the current financial crisis the Commission has previously applied the Impaired Assets Communication to measures notified before the publication of the communication [66].
Es könnte allerdings auch die Frage gestellt werden, ob dieser Teil des Portfolios überhaupt nach der Impaired-Assets-Mitteilung entlastungsfähig ist. In fact, the question could also be whether that part of the portfolio should be considered eligible under the Impaired Assets Communication at all.
Daher ist die Kommission der Auffassung, dass der vorliegende Fall mit der Impaired-Assets-Mitteilung in Einklang steht. In conclusion, the Commission considers that the present case is in compliance with the Impaired Assets Communication.
Eine Beihilfemaßnahme ist nach Randnummer 41 der Impaired-Assets-Mitteilung mit dem Binnenmarkt vereinbar, wenn der Übertragungswert nicht den TWW übersteigt und das Transfer-Delta Null beträgt. In order for the aid measure to be compatible the transfer value should, according to point 41 of the Impaired Assets Communication, not exceed the REV and the transfer delta would be zero.
Im Falle einer Risikoübernahme über dem tatsächlichen wirtschaftlichen Wert ist das in der Impaired-Assets-Mitteilung festgelegte Kriterium der vollständigen Ex-ante-Lastenverteilung nicht erfüllt. In the event of an assumption of risk above the real economic value the criterion laid down in the Impaired Assets Communication of full ex ante burden sharing will not be fulfilled.
Die Kommission ist der Ansicht, dass die Risikoabschirmung, was die in Abschnitt 9.2.2 dieses Beschlusses geprüften Aspekte betrifft, nicht mit der Impaired-Assets-Mitteilung im Einklang steht. In the Commission’s view, the risk shield is not in line with the Impaired Assets Communication as regards the points examined in section 9.2.2 of this Decision.
Da der TWW angenommen wurde und mit den Randnummern 40 und 41 der Impaired-Assets-Mitteilung im Einklang steht, sind nach Auffassung der Kommission weder die erwarteten Verluste noch eine andere der drei von Deutschland geltend gemachten Abzugspositionen für die Bewertung des TWW von Bedeutung. In sum, as the REV has been endorsed above and is in line with points 40 and 41 of the Impaired Assets Communication, the Commission therefore does not consider the expected losses or any of the other three mitigating factors advanced by Germany in its comments as relevant for the REV assessment.
Randnummer 41 der Impaired-Assets-Mitteilung lässt also einen gewissen Spielraum im Hinblick auf partielle Rückzahlungsmaßnahmen, solange diese durch Umstrukturierung angemessen kompensiert werden. In sum, paragraph 41 of the Impaired Assets Communication leaves some room for accepting partial claw-backs if adequately compensated through restructuring.
Sie erfüllt somit die Voraussetzungen von Randnummer 41 der Impaired-Assets-Mitteilung und fällt in das Spektrum der Maßnahmen, die die Kommission bislang in ihrer Beschlusspraxis genehmigt hat. It consequently meets the requirements of paragraph 41 of the Impaired Assets Communication and falls within the outer limits of the range observed in the Commission’s decision-making practice.

It concluded on the existence of state aid and the amount of aid and assessed the amounts as being such that the aid would be incompatible with the Impaired Assets Communication if not clawed back or made up through additional restructuring pursuant to point 41 of the Impaired Assets Communication.
Die Kommission stimmt der Auffassung Deutschlands nicht zu, dass die Impaired-Assets-Mitteilung keine Anwendung finden sollte. It does not agree with Germany in so far as the latter argues that the Impaired Assets Communication should not be applied.
In der Impaired-Assets-Mitteilung wird erläutert, wie Entlastungsmaßnahmen der Mitgliedstaaten für wertgeminderte Vermögenswerte nach Artikel 107 Absatz 3 Buchstabe b AEUV beihilfenrechtlich zu würdigen sind. In the Impaired Assets Communication, the Commission has provided guidance on the treatment under Article 107(3)(b) TFEU of asset relief measures adopted by Member States.
In Anbetracht des von Deutschland unterbreiteten Zusagenkatalogs bezüglich der Umstrukturierung der HSH und der von der Kommission diesem Mitgliedstaat auferlegten Auflagen in Bezug auf Vergütung und Lastenverteilung kommt die Kommission zu dem Schluss, dass die Risikoabschirmung im Einklang mit Abschnitt 5 der Impaired-Assets-Mitteilung steht. In view of the commitments entered into by Germany regarding the restructuring and the conditions imposed by the Commission on that Member State in regard to the remuneration and burden sharing, the Commission comes to the conclusion that the risk shield is in line with Section 5 of the Impaired Assets Communication.
In Anbetracht der Besonderheiten des CRI und des Umstrukturierungsplans von Dezember 2009 sowie des in Abschnitt 2.3 dieses Beschlusses beschriebenen aktualisierten Umstrukturierungsplans von November 2010 betrachtet die Kommission Maßnahme A als mit den allgemeinen Grundsätzen der Impaired-Asset-Mitteilung und den Prinzipien des Binnenmarktes wie in Erwägungsgrund 284 dargelegt vereinbar. In view of the characteristics of the CRI and in view of the December 2009 Restructuring Plan and the updated November 2010 Restructuring Plan as described under heading 2.3 of this Decision, the Commission considers Measure A to be compatible with the general principles of the Impaired Asset Measure and with the principles of the internal market as explained in recital 284.
In der Einleitungsentscheidung äußerte die Kommission Zweifel an der Vereinbarkeit der ursprünglichen Maßnahme mit der Mitteilung über die Behandlung wertgeminderter Aktiva im Bankensektor der Gemeinschaft [13] (nachstehend „Impaired-Assets-Mitteilung“ genannt), insbesondere, was die Bewertung und Lastenverteilung betrifft. In the opening decision the Commission expressed doubts about the compatibility of the original measure with the Communication on the treatment of impaired assets in the Community banking sector [13] (hereinafter referred to as the ‘Impaired Assets Communication’), in particular as regards the valuation and burden sharing.
Die Kommission kommt erstens in Anbetracht der von Deutschland am 3. Dezember 2009 eingebrachten Änderungen zu dem Schluss, dass die Entlastungsmaßnahme mit der Impaired-Assets-Mitteilung im Einklang steht und folglich nach Artikel 107 Absatz 3 Buchstabe b AEUV mit dem Binnenmarkt vereinbar ist. In view of the modifications made by Germany on 3 December 2009 the Commission comes to the conclusion that the asset relief measure is in accord with the Impaired Assets Communication and consequently in accordance with Article 107(3)(b) TFEU is compatible with the internal market.
Nach Randnummer 32 der Impaired-Assets-Mitteilung, in der die grundlegenden Ausführungen zur Entlastungsfähigkeit von Vermögenswerten enthalten sind, sollte jedoch bei der Bewertung der Art der unter eine Entlastungsmaßnahme fallenden Vermögenswerte pragmatisch vorgegangen werden. Nevertheless, under paragraph 32 of the Impaired Assets Communication, which lays down the guiding principles on the eligibility of assets, a pragmatic approach should be adopted when assessing the nature of the assets involved in an impaired assets measure.
Dennoch war die Kommission der Ansicht, dass Maßnahme A mit den allgemeinen Grundsätzen der Mitteilung der Kommission über die Behandlung von wertgeminderten Aktiva im Bankensektor der Gemeinschaft [68] („Impaired-Asset-Mitteilung“) in Einklang stehen sollte, um als mit dem Binnenmarkt vereinbar zu gelten. Nevertheless, the Commission considered that to be compatible with the internal market, Measure A should comply with the general principles of the Communication from the Commission on the treatment of impaired assets in the Community banking sector [68] (the ‘Impaired Asset Communication’).
Dennoch ist die Kommission der Auffassung, dass mit Hilfe eines Vergütungssystems, das eine Berichtigung ermöglicht, die sowohl mit der Impaired-Assets-Mitteilung als auch mit der Beschlusspraxis der Kommission in Bezug auf Rückzahlungen und Vergütungen im Einklang steht, die Vereinbarkeit der Beihilfemaßnahme mit dem Binnenmarkt gewährleistet werden könnte. Nevertheless the Commission considers that the compatibility of the aid measure might be ensured if a remuneration system were put in place that allowed for a correction in line with the rules established by the Impaired Assets Communication and the Commission’s decision-making practice regarding claw-backs and remuneration.
Die Kommission forderte Deutschland zudem auf, eine Stellungnahme der Bundesbank zu den Ausgleichseffekten einzuholen und etwaige Änderungen der Portfoliobewertung von einer Regulierungsbehörde wie der Bundesbank im Einklang mit der Impaired-Assets-Mitteilung prüfen und bestätigen zu lassen. Moreover, the Commission invited Germany to engage the Bundesbank to comment on the compensatory effects and have any proposed alteration in the portfolio valuation verified and confirmed by a regulatory authority such as the Bundesbank, in line with guidance from the Impaired Assets Communication.
Da im vorliegenden Fall die in Rede stehende Risikoabschirmung [rund 75] % der Bilanzsumme der HSH deckt, bietet Randnummer 35 der Impaired-Assets-Mitteilung keine befriedigende Lösung. However, since [around 75] % of HSH’s balance sheet is covered by the risk shield, paragraph 35 of the Impaired Assets Communication does not provide a satisfactory solution here.

They allow the Commission to conclude that the depth of the restructuring compensates for the flexible application of the Impaired Assets Communication as regards the eligibility of assets.
