Auch wenn das Angebot von Lidl glaubwürdig war, so war es dennoch nicht vollkommen mit dem Angebot von Konsum vergleichbar, da sich Lidl und Konsum in Bezug auf das streitige Grundstück nicht in einer vergleichbaren Lage befanden. However, even if Lidl's bid were considered credible, it would not be fully comparable to Konsum's bid. That is because Lidl and Konsum were not in a similar situation as regards the contested plot of land.

SEK (ca… However, by a phone call followed by an e-mail dated 23 August 2005, Lidl made an offer of SEK 6,6 million (about EUR 710602) for the same plot of land, so that the sale price was re-negotiated by the Municipality and Konsum from SEK 1 to SEK 1 million…
Wäre ein offenes Bietverfahren durchgeführt worden, hätte sich der Grundstückspreis auf mindestens den von Lidl gebotenen Betrag erhöht und Konsum hätte mindestens diesen Preis zahlen müssen, um das Grundstück zu erwerben. If a public tender had been conducted, the price of the land would have reached at least the amount offered by Lidl and Konsum would have had to pay at least this price for the land.
Hätte die Gemeinde stattdessen das Angebot von Lidl akzeptiert, hätte sie die Ziele des Gesamtentwicklungsplans nicht verwirklichen können, da Konsum dann seinen Standort Åre Torg beibehalten hätte. If it had accepted Lidl’s bid instead, the Municipality would not have been able to pursue the objective of the MDP, since Konsum would have remained at its premises in Åre Torg.
Vor dem Verkauf an Konsum gab es jedoch einen anderen und nach Auffassung der Kommission auch zuverlässigeren Indikator für den Marktwert des zum Verkauf stehenden Grundstücks, nämlich das Kaufangebot von Lidl (siehe Abschnitt VI.1.1.3). Keine Supermarktkette beantwortete den Fragebogen, allerdings legte Lidl Angaben zu seinen Ein- und Verkäufen der betroffenen Ware zwischen 2005 und 2008 vor. No supermarket chain responded to the questionnaire, however Lidl provided information on its purchases and resales of the product concerned between 2005 and 2008.
Am 23. August 2005 jedoch bot Lidl dem Gemeindevorsteher von Åre zunächst telefonisch und anschließend in einer entsprechenden E-Mail für dasselbe Grundstück 6,6 Mio. SEK (rd. 0,7 Mio. EUR). On 23 August 2005, however, Lidl submitted a bid of SEK 6,6 million (around EUR 0,7 million) for the same plot of land by a phone call to the Municipal Chief Executive Officer followed by an e-mail sent on the same day.
Am 24. Das Angebot von Lidl ging erst unmittelbar vor dem Gemeinderatsbeschluss ein. Lidl’s bid was received just before the Municipal Council adopted its decision;

Im Rahmen seiner Strategie, die steigende Nachfrage nach Harddiscount-Waren in den nordischen Ländern und den steigenden Marktanteil des Harddiscount-Segments im Handel mit Verbrauchsgütern des täglichen Bedarfs in diesen Ländern für sich zu nutzen, hatte Lidl seit 2003 in Schweden Verkaufsstellen eröffnet. Lidl had been opening outlets in Sweden since 2003 in a strategic move to profit from the growing demand for and market share of the hard discount segment in the FMCG sector in the Nordic countries.
Lidl trat 2003 als erster ausländischer Akteur im Lebensmittelbereich in den schwedischen Markt ein und ist ein direkter Wettbewerber von Konsum im Bereich des Lebensmitteleinzelhandels. Lidl was the first foreign operator in the food sector to enter the Swedish market in 2003 and is a direct competitor of Konsum in the food and groceries retailing sector.
Lidl ist auf dem schwedischen Lebensmitteleinzelhandelsmarkt ein relativ kleiner Akteur. Lidl is a relatively small player in the food retail market in Sweden.
Diesbezüglich führte die Beschwerdeführerin vor allem an, dass das Angebot von Lidl glaubwürdig, verbindlich und mit dem von Konsum unterbreiteten und von der Gemeinde angenommenen Angebot unmittelbar vergleichbar gewesen sei. In this regard, the complainant submits, in particular, that the bid by Lidl was credible, binding and directly comparable to the bid made by Konsum and accepted by the Municipality.
Außerdem erachteten die schwedischen Behörden das Angebot von Lidl nicht für seriös oder verbindlich, da es verspätet eingereicht wurde und keine ausreichenden Angaben enthielt. Moreover, the Swedish authorities did not regard Lidl’s offer as serious and binding due to its late submission and the lack of sufficient details.
Im Gegensatz zu dem zwischen Konsum und der Gemeinde geschlossenen Vertrag enthielt das Angebot von Lidl keine Verweise oder nähere Einzelheiten in Bezug auf den Gesamtentwicklungsplan. Moreover, contrary to the agreement concluded between Konsum and the Municipality, Lidl's bid did not contain any references or specifications in relation to the MDP.
Am selben Tag, an dem Lidl sein Angebot vorlegte, handelte die Gemeindeverwaltung den Verkaufspreis mit Konsum neu aus; Konsum erklärte sich sofort bereit, 1 Mio. SEK anstatt 1 SEK zu bezahlen. EUR) entspricht, ist dieser Betrag zurückzufordern. Since the aid to Konsum is equal to the difference between Lidl’s bid and the actual sale price — SEK 4,6 million (around EUR 0,5 million) — this is the aid amount to be recovered.
Am selben Tag, an dem Lidl sein Angebot unterbreitete, handelte die Gemeindeverwaltung mit Konsum einen neuen Verkaufspreis von 1 Mio. SEK aus. Subsequent to Lidl’s bid, the Municipal Executive Office renegotiated the sale price with Konsum and a revised price of SEK 1 million was agreed.

The Swedish authorities emphasized that Lidl's expression of interest was received by e-mail on the day before the adoption of the decision to go ahead with the contested sale by the Municipality's Executive Board and that it lacked sufficient detail.
Die Erhöhungen des Verkaufspreises nach dem Angebot von Lidl (erst von 1 SEK auf 1 Mio. SEK und danach von 1 Mio. SEK auf 2 Mio. SEK) scheinen die unmittelbare Vergleichbarkeit zu bestätigen. The various increases in the planned sale price subsequent to Lidl’s bid (from SEK 1 to SEK 1 million and, finally, to SEK 2 million) seemed to support this finding.

Die Kommission gelangt daher zu dem Schluss, dass dem Staat im vorliegenden Fall Mittel in Höhe der Differenz zwischen dem Angebot von Lidl und dem tatsächlich gezahlten Verkaufspreis (d. h. 4,6 Mio. SEK, das entspricht rund 0,5 Mio. EUR) entgingen. Thus, the Commission concludes that there was a loss of State resources, amounting to the difference between the bid put forward by Lidl and the actual sale price (SEK 4,6 million, around EUR 0,5 million).
Die Kommission ist daher der Auffassung, dass Konsum im vorliegenden Fall durch den Verkauf des Grundstücks ein selektiver wirtschaftlicher Vorteil in Höhe der Differenz zwischen dem Angebot von Lidl und dem tatsächlich gezahlten Verkaufspreis gewährt wurde. Thus, the Commission considers that, in the case at hand, the land sale conferred a selective economic advantage to Konsum equal to the difference between Lidl’s bid and the actual sale price.

Nach Auffassung der Kommission ist das glaubwürdige und verbindliche Angebot von Lidl, das über dem Wert lag, den die schwedischen Behörden in ihrer aktualisierten Bewertung für das fragliche Grundstück veranschlagten, ein besserer Indikator für den Marktwert des Grundstücks als der Wert in der aktualisierten Bewertung, da das Angebot zeigte, wie viel der Markt zum… The Commission considers that Lidl’s credible and binding bid, which was higher than the price of the land as estimated by the updated evaluation, is a better indicator of the market value of the land, since it reflects how much the market was willing to…
Nach Auffassung der Kommission kann die Glaubwürdigkeit des Angebots von Lidl unter diesen Umständen durchaus in Frage gestellt werden. The Commission considers that the credibility of Lidl's bid could indeed be questioned under these circumstances.
Nach Auffassung der Beschwerdeführerin belief sich die Beihilfe auf 4,6 Mio. SEK (ca. 495268 EUR); dies entspricht der Differenz zwischen dem Angebot von Lidl und dem Verkaufspreis. The complainant alleges that the aid amounts to SEK 4,6 million (about EUR 495268), or the difference between Lidl’s offer and the sale price.
Bei der Beschwerdeführerin (Stiftung „Den Nya Välfärden“) handelt es sich um eine Organisation, die unter anderem für Unternehmen tätig ist und ihre Tätigkeit im Wesentlichen durch die Beiträge zahlreicher Unternehmen finanziert. Die Stiftung handelte in dieser Sache im Einvernehmen mit dem Unternehmen Lidl Sverige KB (nachstehend „Lidl“ genannt). The complainant, Den Nya Välfärden, is a business organisation financed by contributions from a large number of companies, acting on behalf of one of its members, Lidl Sverige KB (hereinafter ‘Lidl’).
Das Angebot von Lidl The bid by Lidl
In Anbetracht der Umstände des streitigen Verkaufs gelangt die Kommission deshalb zu dem Schluss, dass das Angebot von Lidl nicht den besten verfügbaren Indikator zur Ermittlung des Marktwerts des streitigen Grundstücks darstellt. The Commission therefore concludes that, given the context of the contested sale, Lidl's bid does not provide the best available proxy for determining the market value of the contested plot of land.
Das Angebot wurde nicht in anderer, offiziellerer Form unterbreitet, weil Lidl gerade erst davon Kenntnis erhalten hatte, dass der Verkauf am folgenden Tag (für einen Preis von 1 SEK) stattfinden sollte. The bid was not submitted by more formal means because Lidl had just become aware that the sale was to take place at a price of SEK 1 on the following day.
Die Kommission stellt fest, dass die Glaubwürdigkeit und Verbindlichkeit des Angebots von Lidl von den schwedischen Behörden in Frage gestellt wurde. The Commission notes that the credibility and binding character of Lidl's bid has been contested by the Swedish authorities.
Das Angebot von Lidl war nicht an Bedingungen geknüpft. There were no conditions attached to Lidl’s bid or to the sale contract.
Die Beihilfemaßnahme könnte den Handel zwischen den Mitgliedstaaten beeinträchtigen (vor allem bei Berücksichtigung der Tatsache, dass sowohl KF als auch Lidl international tätig sind). The measure might affect trade between Member States, in particular since both Konsum and Lidl are international players;
Deshalb könne das von Lidl unterbreitete Angebot nicht als mit dem Angebot von Konsum vergleichbar gelten. Therefore, Lidl’s bid could not be considered comparable to Konsum's.
Das Angebot von Lidl und der tatsächlich von Konsum verlangte Preis sind daher unmittelbar vergleichbar. Therefore, the bid put forward by Lidl and the actual sale price to Konsum are directly comparable.
Demnach kann die Auffassung vertreten werden, dass im vorliegenden Fall eine staatliche Beihilfe vorlag, sofern ein privater Verkäufer das Grundstück zum Angebotspreis an Lidl hätte verkaufen können. Dies setzt voraus, dass das Angebot von Lidl glaubwürdig und verbindlich war. Therefore, should a private seller have been able to sell the land to Lidl at the bid price, i.e. if Lidl’s bid was credible and binding, State resources would have been present.
Der Verkaufspreis für Konsum und das Angebot von Lidl schienen unmittelbar miteinander vergleichbar zu sein, und das Angebot von Lidl schien nicht an bestimmte Bedingungen geknüpft zu sein. Während Lidl lediglich an der Übernahme des streitigen Grundstücks interessiert war, hätte Konsum nach Angaben der schwedischen Behörden seine Geschäftstätigkeit nicht von Åre Torg weg verlegt, wenn das Unternehmen die beiden angrenzenden Grundstücke im Viertel Åre Prästbord nicht hätte erwerben können. While Lidl was only interested in obtaining the contested plot of land, Konsum, according to the Swedish authorities, would not have moved away from Åre Torg had it not been able to acquire the two adjacent plots of land in Åre Prästbord.
